Terms of Use

These terms cover your use of the NegosyoKlaro mobile app, published by EM Labs. By using the app you agree to them. If you do not agree, please do not use the app. They are written to be read, not to be impressive — if anything here is unclear, ask us before relying on it.

1. What NegosyoKlaro is

NegosyoKlaro is a point-of-sale, inventory and bookkeeping tool for small Philippine businesses. It records the sales, stock, utang and cash movements you enter, and calculates summaries and reports from them. It is a recording and calculation tool for your own use.

2. Your records are yours, and they are your responsibility

You own everything you enter. You are responsible for what you record and for its accuracy — including prices, costs, stock counts, and any information you record about your customers, such as names and utang balances. If you record other people's information, you are responsible for handling it fairly and lawfully.

3. The app does not give accounting, tax or legal advice

Profit figures, cost estimates, margins, reorder hints, price history and every other calculated number in the app are informational estimates derived from what you entered. They are not bookkeeping, accounting, audit, tax or legal advice, and they are not prepared to any accounting standard. Do not file a return, settle a dispute, or make a financial commitment on the strength of a number in this app without checking it yourself or with a qualified professional.

4. Your data lives on your phone

NegosyoKlaro is local-first: your business records are stored in the app on your device, not on our servers. There is no cloud backup of your business records today.

This means a lost, stolen, broken, reset or wiped phone can mean lost records, and we will not be able to recover them for you. Deleting the app deletes them too. Keeping your phone's own backup switched on is your protection today, and we strongly recommend it. The privacy policy explains exactly what is stored where.

5. Subscriptions, billing and cancellation

NegosyoKlaro is free to use for selling, inventory, utang and the everyday reports. Some features are part of a paid plan, NegosyoKlaro Pro.

  • Pro is sold as an auto-renewing subscription through Apple's App Store. Prices are shown in the app before you buy, in your App Store region's currency
  • Payment is charged to your Apple ID at confirmation of purchase. Apple processes the payment; we never receive your card details
  • Subscriptions renew automatically unless you cancel at least 24 hours before the current period ends. Your Apple ID is charged for renewal within 24 hours of the end of the period
  • You manage and cancel in iOS Settings → your name → Subscriptions, not in the app. We cannot cancel or refund on your behalf
  • Refunds are handled by Apple under Apple's policies. You can request one through Apple's “Report a Problem” page
  • Restore purchases re-links a subscription you already bought. It requires signing in to the verified account the subscription belongs to, so that a subscription is never moved to the wrong person. It restores your subscription only — it does not restore your business records, which live on your device
  • If a plan's features change materially, we will say so before the change reaches you

6. Smart Resibo is assistive, not authoritative

Smart Resibo reads a photo of a supplier receipt and proposes a stock purchase for you to check. It uses automated text extraction, and automated reading of a photographed receipt is not perfectly accurate — creases, glare, faded thermal print, handwriting and unusual layouts all affect it.

Everything it produces is a draft you must review and confirm. Nothing is written to your records until you approve it. You are responsible for checking the items, quantities and prices before saving, and the saved result is your record, not ours. Scan allowances depend on your plan, and the feature needs an internet connection.

7. Acceptable use

Please do not:

  • Use the app for anything unlawful, or to record unlawful activity
  • Try to break, overload, probe or reverse-engineer the app or our servers, or work around its security or plan limits
  • Use another person's account, or share access in a way that misrepresents who is using it
  • Abuse trials, referral codes or one-time benefits — for example by creating accounts to claim a one-time benefit more than once
  • Resell or redistribute the app or a paid plan without our agreement

If an account is used this way we may suspend or close it, and may keep the limited records needed to enforce that, as described in the privacy policy.

8. Intellectual property

The app itself — its software, design, name and branding — belongs to EM Labs. These terms let you use it; they do not transfer ownership of it to you. Your business data remains entirely yours: we claim no ownership of, and no licence to exploit, the records you enter.

9. Availability and changes

Because NegosyoKlaro works on-device, day-to-day selling keeps working without an internet connection. Features that need our servers — signing in, subscription checks and Smart Resibo — depend on connectivity and on services we do not control, and can be unavailable at times.

We do not promise uninterrupted or error-free service, and we offer no uptime guarantee. We may add, change or withdraw features, and may update these terms. If a change materially affects you, we will update this page and its effective date. Continuing to use the app after that means you accept the updated terms.

10. Ending your account

You can delete your account at any time from Settings → Delete account in the app. It is permanent, it wipes the business records in the app on that phone, and we cannot recover them afterwards. A small number of records are deliberately kept for billing, partner accounting and anti-abuse purposes — the privacy policy lists them.

Deleting your account does not cancel an App Store subscription — cancel that separately in iOS Settings. We may close an account that breaches section 7.

11. Disclaimers and limits

The app is provided “as is”, without warranties of any kind beyond those that cannot be excluded by law. We do not warrant that it will be uninterrupted, error-free, or that any figure it calculates is fit for a particular purpose.

To the fullest extent permitted by law, EM Labs is not liable for indirect, incidental or consequential loss, or for lost profits, lost sales, lost business records or lost data — including records lost with a device, since the app is local-first and you control your own backups. Where liability cannot be excluded, it is limited to the amount you paid us for NegosyoKlaro in the twelve months before the claim.

Nothing here removes rights you have under consumer law that cannot be waived, and nothing here limits liability for fraud.

These terms are between you and EM Labs. Apple is not a party to them and is not responsible for the app or its support; Apple's own terms cover your use of the App Store and your purchase.
